Not necessarily. A C grade means proceed with caution, not walk away. It reflects meaningful risk in one or more dimensions, and that the asking price or deal structure needs to account for that risk.
A C-grade deal at the right price, with the right earnout structure and considered due diligence, can still be a sound acquisition. A D grade is a different situation: below 5.0 the risks are significant enough that a walk-away price needs to be applied firmly.
