Not necessarily. A C grade means proceed with caution — not walk away. It reflects meaningful risk in one or more dimensions, and that the asking price or deal structure needs to account for that risk.
A C-grade deal at the right price, with the right earnout structure and considered due diligence, can still be a sound acquisition. A D grade is a different situation — below 5.0 the risks are significant enough that a walk-away price needs to be applied firmly.
