Not necessarily. A C grade means proceed with caution, not walk away. It reflects meaningful risk in one or more dimensions, and that the asking price or deal structure needs to account for that risk.

A C-grade deal at the right price, with the right earnout structure and considered due diligence, can still be a sound acquisition. A D grade is a different situation: below 5.0 the risks are significant enough that a walk-away price needs to be applied firmly.

The Quick Score (from $119) is a condensed screen: the Dealytix Score and grade, a verdict for each of the five dimensions, the three most material red flags, and a directional price sanity check. It answers, is this deal worth pursuing?

The Full Report (from $599) answers what to do about it: the complete analysis and evidence behind every dimension, a severity-ranked risk register, a recommended price range and walk-away price, a deal structure, ten priority questions for the seller, and a 90-day post-acquisition plan.
